Terms of Service

Effective Date: July 21, 2026

These Terms of Service (“Terms”) govern your access to and use of Maigent (the “Service”), operated by Maigent, Inc. (“we,” “us,” or “our”). By accessing or using Maigent, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Overview of Service

Maigent is a privately owned artificial intelligence platform, delivered on dedicated hardware, that serves individuals and organizations. The Service is provided in two forms:

Personal Maigent: an individual's own AI, provisioned on dedicated hardware. It learns about your world over time and is designed to amplify your capabilities by acting on your behalf, with your approval, across the accounts and services you connect to it, including email, calendar, files, applications, research, and other tasks and decisions you authorize.

Organizational Maigent: an AI designed for AI-native organizations, including companies operating from a very early stage. It is intended to function as your organization's operating system, running as much of your organization's operations as possible through AI, and engaging the appropriate Personal Maigent device(s) when human input or approval is needed.

References in these Terms to “you,” “your,” or “customer” include both individual users of a Personal Maigent and organizations using an Organizational Maigent, except where a provision expressly applies to only one. Whichever form of the Service you use, it can connect to third-party accounts you authorize to review incoming communications, draft outgoing communications, send communications or take other actions with your permission or configured autonomy, and run multi-step “projects” involving dependencies and ordered tasks. The Service is available globally to both individuals and businesses.

2. Eligibility and Account Registration

You must be at least 18 years old to use the Service. By registering, you represent and warrant that you are 18 or older and, if registering on behalf of a business, that you have authority to bind that business to these Terms.

You agree to:

  • Provide accurate and complete information during registration.
  • Maintain the security of your account credentials and your dedicated hardware.
  • Not share your account with anyone else.

3. Dedicated Hardware and Remote Access

Your subscription includes dedicated hardware (a “Maigent device”) provisioned to you, on which your data is stored and Maigent's approved AI models run locally. You are responsible for the physical and network security of your dedicated hardware, except where Maigent has agreed in writing to host it on your behalf.

Maigent does not have standing remote access to your dedicated hardware. You may grant Maigent remote access for maintenance or support; such access requires your explicit authorization and may be revoked by you at any time. You choose when to install software updates on your device, similar to how you choose when to install updates on a mobile device, and installing them does not require standing remote access from Maigent.

During an authorized remote access session, our support personnel may use company-approved, enterprise-configured AI tools to help diagnose or resolve your request. As described in our Privacy Policy, these tools are contractually configured not to use your data to train their underlying models, and any content submitted to them is limited to what is reasonably necessary to provide support.

4. Third-Party Platform Connections

You may authorize the Service to connect to third-party accounts. You are responsible for ensuring your use of those connections complies with the applicable third-party platform's own terms of service and API policies. Maigent will access such platforms only through methods permitted by each platform's developer terms and reserves the right to modify, suspend, or discontinue an integration where necessary to comply with a platform's requirements.

5. AI-Generated Content and Autonomous Actions

The Service uses artificial intelligence to review, summarize, and draft communications, and to carry out steps within your projects. AI-generated content may contain errors, omissions, or inaccuracies, and you are responsible for reviewing AI-drafted communications before they are sent, except to the extent you have configured the Service to send communications autonomously.

Autonomous Sending. The Service allows you to configure autonomy settings that permit communications or actions to be sent or taken without your review of each individual item. You are solely responsible for configuring these settings appropriately for your needs, and for the content and consequences of any communication sent or action taken within the parameters you configure. Maigent does not review the substance of autonomously sent communications before they are transmitted.

You acknowledge that the Service facilitates communications with third parties on your behalf, and that Maigent is not a party to, and does not vet, verify, or guarantee the accuracy, legality, or outcome of, any communication or interaction conducted through the Service.

For Organizational Maigent deployments, autonomy configured by an organization may extend beyond communications to other operational tasks the organization has authorized the Service to perform. The responsibility and liability allocation described in this Section applies equally to those actions.

6. User Content and Ownership

You retain full ownership of all content you upload, create, or process on Maigent, including content from connected third-party accounts. By using the Service, you grant us a limited license to use your content solely for the purpose of operating and providing the Service to you. As described in our Privacy Policy, this content is processed and stored on your dedicated hardware, and any local personalization of the Service's behavior is not used to train models for other customers.

7. Subscription and Payment

Maigent operates on a subscription basis. By subscribing, you agree to pay all applicable fees. If you cancel your subscription, your access to the Service will continue until the end of your current billing period. No refunds will be provided for partial billing periods.

8. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose.
  • Violate or attempt to violate the security of the platform or your dedicated hardware.
  • Share your account credentials with others.
  • Use the Service to connect to a third-party platform in a manner that violates that platform's terms of service.

9. Termination

We reserve the right to suspend or terminate your access to the Service for any reason, at our sole discretion, including if we reasonably suspect you have violated these Terms or are using the Service in a manner that is illegal or harmful to others. Upon termination, your access to the Service will be revoked. Upon termination and return of your dedicated hardware, all storage is wiped using DBAN (Darik's Boot and Nuke) and the operating system is fully reinstalled before the hardware is reused.

10. Disclaimers and Limitation of Liability

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT AND AUTOMATED ACTIONS, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, APPROPRIATE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, MAIGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM COMMUNICATIONS OR ACTIONS SENT OR TAKEN ON YOUR BEHALF WITHIN YOUR CONFIGURED AUTONOMY SETTINGS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO MAIGENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold Maigent harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your configured autonomy settings, or your violation of these Terms or of any third-party platform's terms.

12. Business and Enterprise Customers

Organizational Maigent deployments, and any other use of the Service on behalf of a business, are subject to additional terms under a separate Business/Enterprise Addendum, including administrative controls, device and seat management, and business-specific payment terms. Business and organizational customers that require a Data Processing Agreement (“DPA”) for GDPR, CCPA, or other regulatory purposes may request one at support@maigent.ai.

13. Governing Law; Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles.

14. Modifications to Terms

We may update these Terms from time to time. We will provide notice of changes by updating the “Effective Date” above and/or notifying you via the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
